Terms of Service

1. Acceptance of Terms

By creating an account or using any part of the Platform, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with them. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

Wingvault is a document intelligence and compliance management platform designed for Australian industrial and construction supply chain businesses. The Platform enables automated delivery of Safety Data Sheets (SDS), Technical Data Sheets (TDS), and related compliance documents, and provides AI-assisted technical guidance grounded in those documents.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials. You must not share your account with any third party. You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms without notice.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorised access to any part of the Platform or its infrastructure
• Reverse engineer, decompile, disassemble, copy, or reproduce any part of the Platform, its code, design, or functionality
• Resell, sublicense, or commercialise access to the Platform without our express written consent
• Introduce malware, viruses, or any harmful code into the Platform
• Scrape, harvest, or systematically extract data from the Platform
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Platform to distribute spam, unsolicited communications, or misleading content

5. Intellectual Property

All content, features, functionality, design, code, trademarks, logos, and materials on the Platform are the exclusive property of Wingvault Pty Ltd and are protected by Australian and international copyright, trademark, and intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited licence to use it as intended. Any unauthorised use, reproduction, or distribution of our intellectual property is strictly prohibited and may result in civil and criminal penalties.

6. User Content

You retain ownership of documents and data you upload to the Platform. By uploading content, you grant us a limited, non-exclusive licence to store, process, and display that content solely for the purpose of providing the Service to you. We do not claim ownership of your content. You are solely responsible for ensuring that any documents you upload are accurate, current, and that you have the right to share them.

7. AI-Generated Responses

The Platform includes AI-powered chat functionality. Responses generated by the AI are based solely on documents you have uploaded and are provided for informational purposes only. They do not constitute professional, legal, safety, or regulatory advice. You must not rely solely on AI-generated responses for compliance decisions. We accept no liability for any loss or damage arising from reliance on AI-generated content.

8. Document Compliance

The Platform facilitates the storage and delivery of compliance documents such as SDS and TDS files. You are solely responsible for ensuring that documents uploaded to the Platform are current, accurate, and compliant with all applicable Australian Work Health and Safety (WHS) laws and regulations. Wingvault Pty Ltd does not verify the accuracy, currency, or regulatory compliance of any document uploaded by users.

9. Subscription and Billing

Access to certain features requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis as selected at signup. All fees are in Australian dollars and are exclusive of GST unless otherwise stated. We reserve the right to change pricing with 30 days notice. No refunds are provided for partial subscription periods unless required by Australian Consumer Law.

10. Termination

We may suspend or terminate your access to the Platform at any time if you breach these Terms, fail to pay applicable fees, or for any other reason at our sole discretion. Upon termination, your right to access the Platform ceases immediately. You may export your data prior to termination. We are not liable for any loss resulting from termination of your account.

11. Limitation of Liability

To the maximum extent permitted by law, Wingvault Pty Ltd and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or relating to your use of the Platform, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising under these Terms shall not exceed the total fees paid by you to us in the three months preceding the claim.

12. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

13. Governing Law

These Terms are governed by the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland for any dispute arising under these Terms.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-platform notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
